This Agreement is a public contract (offer) between TimeKairos Digital (hereinafter referred to as the "Contractor") and any natural or legal person (hereinafter referred to as the "Customer").
1.1. The subject of this Agreement is the provision by the Contractor of digital services within the TimeKairos Digital Atelier ecosystem. The Customer agrees to accept and pay for the ordered services.
1.2. The subject includes, without limitation: website development and adaptation based on a proprietary website foundation (template) selected by the Customer from the Contractor’s catalog; AI X-Ray (audit); SEO Passport (technical SEO layer); website migration from builders and other platforms; redesign; technical and content support (including support packages); web application development; Performance Landing; Kairos Seasons seasonal offers; consultations; AI materials; and other digital products or packages offered on timekairos.com.ua.
1.3. The specific composition, scope, timeline, and price of services for each order are defined in the agreed brief, invoice, commercial proposal, or statement of work and form an integral part of this Agreement for that order.
1.4. Ordering a site from the catalog is one way to commission development and does not limit the subject of this Agreement to that service alone.
2.1. Payment is made in two stages: 50% before work begins and 50% upon signing the completion certificate.
2.2. Payments are made via bank transfer to the Contractor's account.
3.1. All services and digital products are delivered electronically: via email, a secure download link, file transfer, deployment/publication to a server or domain, provisioning of access (including to a control panel or repository), or another electronic method agreed between the parties.
3.2. The delivery timeline depends on project complexity and is defined in the individual scope of work.
3.3. No physical goods are shipped.
4.1. Property rights in the work results (website, source code, reports, materials, or other agreed digital deliverables), unless otherwise expressly stated for a specific product, transfer to the Customer after full payment for the corresponding services.
4.2. The Contractor reserves the right to use created materials in its portfolio unless the parties agree otherwise in writing (including under an NDA).
5.1. If work has not started and the agreed result has not been delivered — 100% refund, no questions asked.
5.2. If work has started but the result has not been delivered — refund minus hours worked at $30/hour (hours are visible in your project tracker — a tracker is provided for web-development projects; small standalone add-on services may not get a separate one).
5.3. After delivery of the agreed digital result (source-code archive, audit report, materials, or other deliverable), refunds are not available because digital products can be copied. For code work, a 30-day technical warranty applies: we fix bugs in our code free of charge.
